The price applicable to your order is the price displayed at the time you place your order, subject to correction of any pricing errors.

Due to the perishable nature of food products, all sales are generally considered final once an order has been prepared. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SEASONS PIZZA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT ON THE SITE;
• WARRANTIES THAT ANY DEFECTS IN THE SITE WILL BE CORRECTED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UNITED STATES LAW, IN NO EVENT SHALL SEASONS PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, OR SUCCESSORS BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
• DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE OR SERVICES;
• DAMAGES RESULTING FROM ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE;
• DAMAGES RESULTING FROM ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.

IN ALL CASES, SEASONS PIZZA'S AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO SEASONS PIZZA IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, our liability is limited to the fullest extent permitted by applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Seasons Pizza and its officers, directors, employees, agents, contractors, licensors, service providers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and attorneys' fees (including reasonable legal fees) arising out of or relating to:

• Your violation of these Terms or any applicable law or regulation;
• Your use or misuse of the Site or Services;
• Your User Content or any content you submit, post, or transmit through the Site;
• Your violation of any third-party rights, including intellectual property rights or privacy rights;
• Any dispute between you and any third party, including other users of our Services;

Seasons Pizza reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate fully with Seasons Pizza in asserting any available defenses.

13. Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the United States of America and the laws of the applicable state in which Seasons Pizza operates, without regard to its conflict of law principles. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the arbitration provisions contained in Section 14 of these Terms.

To the extent any dispute is not subject to arbitration, you consent to the exclusive personal jurisdiction of and venue in the state and federal courts located in the United States, and you waive any objection to such jurisdiction or venue based on inconvenient forum or any other basis.

Applicable federal laws include, but are not limited to:

• The Federal Trade Commission Act (15 U.S.C. § 41 et seq.) governing unfair or deceptive acts and practices;
• The Electronic Communications Privacy Act (18 U.S.C. § 2510 et seq.);
• The Computer Fraud and Abuse Act (18 U.S.C. § 1030);
• The CAN-SPAM Act (15 U.S.C. § 7701 et seq.) governing electronic communications;
• The Americans with Disabilities Act (42 U.S.C. § 12101 et seq.).

If you are a California resident, additional rights may apply to you under the California Consumer Privacy Act (CCPA/CPRA), Cal. Civ. Code § 1798.100 et seq., and the California Consumers Legal Remedies Act (CLRA), Cal. Civ. Code § 1750 et seq.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to first attempt to resolve any dispute informally by contacting Seasons Pizza at [email protected] and providing a written description of the dispute, your desired resolution, and your contact information. We will attempt to resolve the dispute within 30 days of receiving your notice.

14.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your relationship with Seasons Pizza (including any disputes regarding the existence, validity, or termination of this Agreement) shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as amended by these Terms.

The arbitration shall be conducted in English in the United States. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. You understand that by agreeing to arbitration, you are waiving your right to a jury trial.

Notwithstanding the foregoing arbitration agreement, either party may seek emergency or preliminary injunctive relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information.

15. Term and Termination

These Terms shall remain in full force and effect while you use the Site or Services. We reserve the right, in our sole discretion and without prior notice or liability, to:

• Suspend or terminate your account and access to the Services at any time and for any reason, including without limitation for violations of these Terms;
• Modify, suspend, or discontinue the Site or any portion of the Services, temporarily or permanently, with or without notice;

17. Severability

The failure of Seasons Pizza to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. No waiver of any provision of these Terms shall be effective unless made in writing and signed by an authorized representative of Seasons Pizza.

18. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by Seasons Pizza on the Site, constitute the entire agreement between you and Seasons Pizza with respect to your use of the Site and Services. No single or partial exercise of any right or remedy shall preclude any other or further exercise of that right or remedy or the exercise of any other right or remedy. 20. Force Majeure

Seasons Pizza shall not be liable to you for any failure or delay in the performance of our obligations under these Terms arising out of or caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions, labor disputes, power outages, internet disruptions, supply chain failures, or any other event beyond our reasonable control ("Force Majeure Event"). In the event of a Force Majeure Event, we will notify you as soon as reasonably practicable and make commercially reasonable efforts to resume performance as quickly as possible.
